Affiliate Programme Terms

These Affiliate Programme Terms govern participation in the SPX Labs Affiliate Programme. By applying to join, accessing an affiliate account or participating in the programme, you agree to comply with these terms.

1. About the Affiliate Programme

The SPX Labs Affiliate Programme allows approved affiliates to promote SPX Labs and receive commission on eligible orders attributed to their affiliate account.

Participation in the programme is subject to approval by SPX Labs. Submission of an application does not guarantee acceptance.

SPX Labs may approve or decline an application where reasonably necessary to protect the programme, the SPX Labs brand or our research-only product positioning.

2. Affiliate Accounts

Approved affiliates may receive access to the SPX Labs Affiliate Portal together with an associated affiliate coupon code and referral tools.

Affiliates are responsible for maintaining the security of their account credentials and ensuring that information associated with their account remains accurate and current.

Affiliate accounts and coupon codes must not be transferred, sold or assigned to another person without prior approval from SPX Labs.

3. Customer Discount

The standard SPX Labs affiliate coupon currently provides referred customers with a 5% discount on eligible purchases unless a different discount has been specifically assigned to an affiliate.

Affiliate discounts may be subject to product exclusions, promotional restrictions or other conditions determined by SPX Labs.

4. Affiliate Commission

The standard SPX Labs affiliate commission rate is currently 15% of the eligible referred order value calculated by the SPX Labs affiliate system, unless a different commission arrangement has been agreed with the affiliate.

The commission amount displayed within the Affiliate Portal is calculated according to the applicable affiliate configuration and eligible order value. Delivery charges, discounts, refunds and other adjustments may be excluded from commission calculations where applicable.

Commission initially recorded within an affiliate account is considered unpaid commission. Recording commission within the Affiliate Portal does not mean that the commission is immediately eligible for payment.

5. Referral Attribution

Orders may be attributed to an affiliate through an eligible affiliate coupon code, referral URL or another attribution method supported by the SPX Labs affiliate system.

Commission is payable only where an eligible referral can be reasonably attributed to the affiliate through SPX Labs systems and records.

Referral tracking may be affected by browser settings, cookie restrictions, privacy technologies, device changes or other technical factors outside the reasonable control of SPX Labs. SPX Labs cannot guarantee successful tracking in every circumstance.

6. Payouts

Eligible affiliate commission is paid according to the following standard payout arrangements:

• Minimum payout threshold: £25;
• Payout schedule: monthly;
• Standard payment method: UK bank transfer; and
• Payment timeframe: normally within 7 working days following the end of each calendar month.

Where an affiliate’s eligible commission balance is below £25 at the end of a calendar month, the balance will carry forward until the minimum payout threshold is reached.

Once the applicable threshold has been reached, eligible balances will normally be processed within 7 working days following the end of the relevant calendar month.

SPX Labs may agree an alternative payment method or payout arrangement with an affiliate where appropriate.

7. Affiliate Payment Details

Affiliates are responsible for providing accurate and current payment information when requested by SPX Labs.

SPX Labs cannot be responsible for delays or failed payments resulting from inaccurate, incomplete or outdated payment information supplied by an affiliate.

Payment information should only be provided through a method specifically requested or approved by SPX Labs. Affiliates should not publish banking or other sensitive financial information publicly.

8. Refunds, Cancellations and Ineligible Orders

Commission relating to an order that is cancelled, refunded, reversed, charged back, fraudulent, duplicated or otherwise determined to be ineligible may be withheld, adjusted or removed.

If commission has already been paid in relation to an order that subsequently becomes ineligible, SPX Labs may offset the corresponding amount against future affiliate commission where appropriate.

SPX Labs may review referrals and commission before payment where there is reasonable evidence of an error, misuse, artificial activity or fraud.

9. Self-Referrals and Artificial Referrals

Affiliates must not create artificial transactions, manipulate referral tracking or otherwise attempt to generate commission that does not arise from a genuine eligible referral.

Unless specifically authorised by SPX Labs, affiliates must not use their affiliate arrangements primarily for the purpose of generating commission on their own purchases.

Suspected manipulation, fraudulent referrals or abuse of the programme may result in commission being withheld and the affiliate account being suspended or terminated.

10. Promotion of SPX Labs

Affiliates must promote SPX Labs accurately and responsibly and must not make false, misleading or unsubstantiated claims about SPX Labs, its products, analytical documentation or services.

Affiliates must clearly identify their affiliate or commercial relationship with SPX Labs wherever disclosure is required by applicable advertising, consumer-protection or platform requirements.

Affiliates must not impersonate SPX Labs or represent themselves as an employee, laboratory, authorised representative or official spokesperson for SPX Labs unless specifically authorised to do so.

11. Research-Only Product Positioning

SPX Labs products are supplied strictly for legitimate in-vitro laboratory research, analytical testing and scientific evaluation.

Affiliates must not promote or represent SPX Labs research materials as medicines, supplements or products intended for human or veterinary consumption or administration.

Affiliates must not provide dosing, administration or treatment instructions in connection with the promotion of SPX Labs products and must not claim that an SPX Labs product diagnoses, treats, cures or prevents disease.

Failure to comply with these requirements may result in suspension or termination from the Affiliate Programme and the withholding of commission associated with activity that breaches these terms.

12. Brand and Intellectual Property

Affiliates may use promotional materials specifically supplied or approved by SPX Labs for their intended promotional purpose.

SPX Labs names, logos, imagery and other brand assets must not be altered or used in a manner that is misleading, unlawful or reasonably likely to damage the SPX Labs brand.

Participation in the Affiliate Programme does not transfer ownership of any SPX Labs intellectual property to an affiliate.

13. Tax and Financial Responsibilities

Affiliates are responsible for determining and meeting any tax, accounting, reporting or other financial obligations applicable to payments they receive through the SPX Labs Affiliate Programme.

Participation in the Affiliate Programme does not create an employment relationship between an affiliate and SPX Labs.

14. Suspension and Termination

SPX Labs may suspend, restrict or terminate an affiliate account where reasonably necessary, including in cases involving suspected fraud, misuse, misleading promotion, breach of these terms or activity that may expose SPX Labs to legal, regulatory, financial or reputational risk.

Termination does not create an entitlement to commission arising from fraudulent, prohibited or otherwise ineligible activity.

Eligible commission legitimately earned before termination may remain payable subject to these terms and any necessary review.

15. Changes to the Programme

SPX Labs may amend the Affiliate Programme, including commission rates, customer discounts, payout thresholds, payment schedules, eligibility requirements or these terms.

Material changes will be communicated or published where appropriate. Continued participation following an applicable change constitutes acceptance of the updated programme terms.

16. Programme Availability

SPX Labs does not guarantee that the Affiliate Programme, Affiliate Portal, referral tracking or any particular affiliate feature will remain available without interruption.

SPX Labs may modify, suspend or discontinue the Affiliate Programme where reasonably necessary.
